KaiRise Terms of Service

1. Introduction

Welcome to KaiRise.

These Terms of Service ("Terms") govern your access to and use of the websites, applications, online courses, AskMe™ AI learning platform, mobile applications, APIs, integrations, digital content, and related services (collectively, the "Services") provided by KaiRise, LLC ("KaiRise," "we," "our," or "us").

These Terms constitute a legally binding agreement between you and KaiRise.

By creating an account, purchasing a product, accessing our Services, or otherwise using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, educational institution, government agency, or other legal entity, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Services.

2. Definitions

For purposes of these Terms:

Account means the registered user account used to access the Services.

AskMe means KaiRise's AI-powered coaching, assessment, simulation, conversational learning, and instructional platform.

Content means all text, graphics, videos, software, documentation, assessments, scenarios, prompts, templates, course materials, and other information made available through the Services.

Customer means any individual or organization purchasing or subscribing to the Services.

Enterprise Customer means any company, educational institution, government organization, nonprofit, or other entity purchasing licenses or subscriptions for multiple users.

Learner means any authorized user participating in courses or AskMe learning activities.

Organization means the company, institution, employer, or entity providing access to the Services.

Services includes all KaiRise products, websites, applications, AI systems, learning platforms, APIs, LMS integrations, downloadable materials, and future offerings.

User Content means information, responses, documents, files, media, prompts, feedback, assessments, and other materials submitted by users through the Services.

3. Eligibility

You may use the Services only if:

  • you are legally capable of entering into a binding agreement;
  • you comply with these Terms;
  • your use does not violate applicable law; and
  • you have not previously been suspended or prohibited from using the Services.

If you are under the age of majority in your jurisdiction, you may use the Services only with the authorization of a parent, guardian, educational institution, or sponsoring organization.

Certain Services may have additional eligibility requirements.

4. Changes to These Terms

We may modify these Terms from time to time.

If we make material changes, we will update the "Last Updated" date and, where appropriate, provide notice through the Services or by email.

Changes become effective upon posting unless otherwise stated.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.

If you do not agree with the updated Terms, you must discontinue use of the Services.

5. Your Account

Certain features require you to create an Account.

You agree to:

  • provide accurate and complete information;
  • maintain current account information;
  • safeguard your login credentials;
  • promptly notify us of unauthorized account access; and
  • accept responsibility for all activity occurring under your Account.

You may not:

  • share login credentials except where expressly permitted under an enterprise agreement;
  • impersonate another individual;
  • create fraudulent accounts;
  • create accounts using automated methods without our written authorization; or
  • allow unauthorized individuals to access paid Services.

We reserve the right to suspend, restrict, or terminate accounts that violate these Terms.

6. Organizational Accounts

If your Account is provided through an employer, educational institution, government agency, or other sponsoring organization:

  • the Organization may manage your Account;
  • the Organization may control enrollment, access, reporting, and retention of records;
  • the Organization may assign or revoke licenses;
  • the Organization may receive learner progress, completion, assessment, and reporting information consistent with applicable agreements and our Privacy Statement.

If your employment or affiliation ends, your Organization may terminate or modify your access.

Some personal learning history may remain available to you where technically feasible and permitted by applicable agreements.

7. Enterprise Administrators

Enterprise administrators are responsible for managing users within their organization.

Administrators agree to use administrative privileges only for legitimate organizational purposes.

KaiRise is not responsible for decisions made by enterprise administrators regarding user access, reporting, learner management, or content administration.

8. Service Availability

We continually improve our Services. Accordingly, we may:

  • add new features;
  • discontinue existing features;
  • modify functionality;
  • introduce beta capabilities;
  • change supported AI models;
  • update integrations; or
  • retire legacy functionality.

While we strive for high availability, we do not guarantee uninterrupted or error-free operation.

Scheduled maintenance, security updates, infrastructure upgrades, and third-party service interruptions may temporarily affect availability.

9. Communications

By creating an Account or purchasing Services, you consent to receive electronic communications from KaiRise relating to:

  • your Account;
  • course enrollments;
  • learning activities;
  • certifications;
  • invoices;
  • product updates;
  • security notifications;
  • legal notices; and
  • customer support.

Marketing communications remain subject to your communication preferences and applicable law.

10. Supplemental Terms

Certain Services may be governed by additional terms, including but not limited to:

  • Enterprise Subscription Agreements
  • Professional Services Agreements
  • Statements of Work
  • Data Processing Addenda
  • Acceptable Use Policy
  • AI Transparency Policy
  • Privacy Statement
  • Course-specific policies

Where supplemental terms conflict with these general Terms, the supplemental agreement governs solely for the applicable Service.

11. Relationship to Privacy Statement

Your use of the Services is also governed by the KaiRise Privacy Statement.

The Privacy Statement explains how we collect, use, disclose, retain, and safeguard personal information.

By using the Services, you acknowledge that you have reviewed the Privacy Statement.

Licenses & AI Services

12. License to Use the Services

Subject to these Terms and payment of all applicable fees, KaiRise grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for your internal educational, training, or business purposes.

Your license is limited to the Services and products you have purchased or that have been made available to you by your employer, educational institution, or other sponsoring organization.

No ownership rights are transferred to you. KaiRise and its licensors retain all right, title, and interest in and to the Services and all associated intellectual property.

13. Individual Course Licenses

Unless otherwise stated in a separate written agreement, each purchased course license is assigned to a single authorized learner.

You may not:

  • Share your login credentials with another person.
  • Allow another individual to complete coursework or assessments on your behalf.
  • Copy or redistribute course materials except as expressly permitted.
  • Transfer your license without our written consent.
  • Use purchased content to develop competing training materials or commercial offerings.

Certificates and completion records are issued only to the individual learner who successfully completes the applicable requirements.

14. Enterprise and Organizational Licenses

Organizations purchasing licenses for employees, contractors, students, or other authorized users receive the rights expressly granted in their applicable subscription agreement, order form, or statement of work.

Enterprise Customers may:

  • Assign and reassign licenses where permitted by their agreement.
  • Designate administrators to manage user accounts.
  • Receive learner reporting and analytics.
  • Configure organizational settings and integrations.
  • Upload organization-specific learning content.

Unless otherwise agreed in writing, Enterprise Customers may not:

  • Resell access to the Services.
  • Provide access to unaffiliated third parties.
  • Reverse engineer the Services.
  • Create derivative commercial AI training products using KaiRise proprietary instructional content.

Nothing in these Terms transfers ownership of KaiRise intellectual property to an Enterprise Customer.

15. AskMe™ AI Learning Services

AskMe is an AI-powered instructional platform that delivers interactive learning experiences through conversations, coaching, simulations, assessments, guided practice, and other instructional activities.

Depending on the configuration selected by KaiRise or an Enterprise Customer, AskMe may:

  • Ask follow-up questions.
  • Evaluate learner responses.
  • Generate personalized coaching.
  • Recommend additional learning.
  • Simulate workplace scenarios.
  • Provide formative assessments.
  • Generate summaries for learners or instructors.
  • Support instructor-led learning activities.
  • Facilitate self-paced learning experiences.

AskMe is designed to support education and professional development. It is not intended to provide legal, medical, financial, psychological, or other regulated professional advice.

Learners remain responsible for exercising independent judgment regarding any recommendations or information generated through the Services.

16. AI-Generated Responses

Artificial intelligence systems generate responses based on patterns learned from data and the information available during an interaction.

Accordingly:

  • AI-generated responses may contain errors or omissions.
  • Responses may not always be complete or current.
  • Similar prompts submitted by different users may produce different responses.
  • AI-generated content should be reviewed before being relied upon for important decisions.

KaiRise continuously improves its AI systems and may change AI models, prompts, workflows, providers, or supporting technologies without prior notice.

We do not guarantee identical outputs over time.

17. User Responsibilities When Using AskMe

You agree to use AskMe responsibly and in accordance with these Terms.

You are responsible for:

  • Providing truthful information where required for learning activities.
  • Reviewing AI-generated responses before relying upon them.
  • Maintaining appropriate confidentiality regarding information you submit.
  • Respecting the rights of instructors, classmates, and other users.

You agree not to intentionally manipulate, deceive, or misuse AI-generated assessments or coaching.

18. Uploaded Content

Certain Services allow users to upload documents, presentations, videos, spreadsheets, policies, procedures, images, or other materials.

You represent and warrant that:

  • You own the uploaded materials or have all necessary rights and permissions to upload them.
  • Uploading the materials does not violate any law, contract, intellectual property right, confidentiality obligation, or privacy right.
  • You have authority to authorize KaiRise to process the materials for purposes of providing the Services.

KaiRise does not acquire ownership of your uploaded materials.

You grant KaiRise a limited, worldwide, non-exclusive license to host, process, analyze, store, reproduce, and display uploaded materials solely for the purpose of operating, supporting, improving, and delivering the Services you have requested.

This license terminates when the applicable content is deleted or your applicable retention period expires, except to the extent copies must be retained for backup, legal compliance, security, or contractual obligations.

19. Organizational Knowledge Bases

Enterprise Customers may upload proprietary organizational knowledge, documentation, policies, procedures, presentations, training materials, or other internal resources to customize AskMe learning experiences.

Unless otherwise agreed in writing:

  • The Organization retains ownership of its uploaded content.
  • KaiRise uses organizational content solely to provide contracted Services.
  • Organizational content is not intentionally incorporated into other customers' learning environments.
  • KaiRise will not intentionally disclose one customer's confidential learning content to another customer.

Customers are responsible for ensuring that uploaded materials comply with applicable laws and contractual obligations.

20. Learning Records and AI Coaching History

KaiRise maintains learner records necessary to provide educational services.

Depending upon the Service configuration, learning records may include:

  • Assessment history.
  • AI coaching conversations.
  • Completion history.
  • Instructor feedback.
  • Certificates.
  • Learning analytics.
  • Activity submissions.

Organizations may receive access to learner records consistent with their agreements, applicable law, and the KaiRise Privacy Statement.

21. Learning Management System Integrations

KaiRise Services may integrate with third-party Learning Management Systems ("LMS"), including platforms supporting standards such as Learning Tools Interoperability (LTI) and SCORM.

These integrations may exchange information necessary to:

  • Authenticate users.
  • Launch learning activities.
  • Record learner progress.
  • Return grades or completion status.
  • Synchronize enrollment information.
  • Support instructor reporting.

KaiRise is not responsible for the availability, functionality, security, or performance of third-party LMS platforms or services.

Use of third-party platforms remains subject to the terms and privacy policies of those providers.

22. Beta Features

From time to time, KaiRise may offer beta, preview, early access, experimental, or evaluation features.

Beta features:

  • May be incomplete.
  • May change without notice.
  • May be discontinued at any time.
  • May contain defects or inaccuracies.
  • May not be suitable for production use.

Unless otherwise expressly stated, beta features are provided "as is" without additional warranties.

User feedback regarding beta features helps improve future releases.

23. Educational Purpose

KaiRise provides educational technology intended to support learning, coaching, assessment, and professional development.

Nothing in the Services creates a professional advisory relationship between KaiRise and the learner.

Completion of a course or participation in an AskMe activity does not constitute professional certification, licensure, legal qualification, or employment unless expressly stated by the applicable accrediting body or sponsoring organization.

Content & Intellectual Property

24. User Content

The Services may allow you to create, upload, submit, transmit, store, or otherwise make available information, documents, assessments, media, feedback, prompts, responses, or other materials ("User Content").

You retain ownership of your User Content.

Except for the limited rights granted in these Terms, KaiRise does not claim ownership of User Content.

You are solely responsible for the User Content you submit and for ensuring that it complies with applicable law and these Terms.

25. License to User Content

By submitting User Content through the Services, you grant KaiRise a limited, worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit, analyze, index, and modify (solely as necessary for formatting or technical compatibility) User Content only as reasonably necessary to:

  • provide the Services;
  • operate AskMe;
  • generate AI responses;
  • provide instructor reporting;
  • support learning activities;
  • maintain security;
  • perform backups;
  • troubleshoot technical issues; and
  • comply with legal obligations.

This license does not transfer ownership of your User Content.

Unless expressly authorized by you or required to provide the Services, KaiRise will not publish your User Content publicly.

26. AI-Generated Content

AskMe may generate instructional content, coaching responses, summaries, recommendations, assessments, reports, simulations, and other outputs ("AI Output").

Subject to applicable law and any third-party provider requirements:

  • You may use AI Output generated for you for your own educational, internal business, or organizational purposes.
  • AI Output may be copied or retained as part of your learning records.
  • AI Output should not be represented as independently verified factual information without appropriate review.

Because artificial intelligence systems generate responses probabilistically:

  • identical prompts may produce different outputs;
  • similar outputs may be generated for different users; and
  • KaiRise cannot guarantee uniqueness of AI Output.

KaiRise retains ownership of the underlying software, prompts, workflows, instructional methodologies, orchestration systems, scoring mechanisms, and platform technology used to generate AI Output.

27. Feedback

We welcome suggestions for improving the Services.

If you voluntarily provide ideas, suggestions, enhancement requests, feature recommendations, comments, or other feedback ("Feedback"), you agree that:

  • KaiRise may use the Feedback without restriction;
  • no compensation is owed to you;
  • no confidentiality obligation applies to the Feedback unless separately agreed in writing; and
  • KaiRise may incorporate the Feedback into future products and services.

28. Intellectual Property

The Services, including all software, source code, AI orchestration, prompts, instructional methodologies, workflows, assessments, scenarios, graphics, videos, documentation, text, trademarks, service marks, logos, and other proprietary materials are owned by KaiRise or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

Except as expressly permitted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

29. Trademarks

"KaiRise," "AskMe," associated logos, product names, slogans, and other branding are trademarks or service marks of KaiRise, LLC or its licensors.

You may not use our trademarks without prior written permission except as reasonably necessary to accurately identify our Services.

Acceptable Use & Enforcement

30. Acceptable Use

You agree to use the Services responsibly and lawfully. You may not use the Services to:

  • violate any applicable law or regulation;
  • infringe intellectual property rights;
  • harass, threaten, abuse, or harm another person;
  • distribute malicious software;
  • interfere with the operation of the Services;
  • gain unauthorized access to systems or accounts;
  • upload unlawful, defamatory, obscene, or fraudulent content;
  • impersonate another individual or organization;
  • circumvent security measures;
  • interfere with another user's access to the Services;
  • submit intentionally misleading assessment responses for fraudulent purposes;
  • exploit vulnerabilities in the Services;
  • attempt to access data belonging to other users or organizations; or
  • engage in activity that could reasonably damage the Services or KaiRise's reputation.

31. AI-Specific Prohibited Uses

Without limiting the foregoing, you may not use AskMe or other AI-powered Services to:

  • attempt prompt injection attacks;
  • bypass safety mechanisms;
  • extract proprietary prompts or internal system instructions;
  • reverse engineer AI models or workflows;
  • generate malicious software;
  • automate phishing, fraud, or impersonation;
  • intentionally generate harmful, discriminatory, or unlawful content;
  • attempt to identify confidential information belonging to another customer;
  • perform automated scraping or model extraction;
  • overload AI systems through abusive automated requests;
  • use the Services to train competing artificial intelligence systems using KaiRise proprietary content without our written authorization.

Nothing in this section restricts lawful security research conducted with our prior written authorization.

32. Confidential Information

Certain information made available through the Services may constitute confidential or proprietary information.

If you receive confidential information belonging to KaiRise or another customer through authorized use of the Services, you agree to:

  • protect its confidentiality;
  • use it only for authorized purposes;
  • not disclose it to unauthorized parties; and
  • promptly notify KaiRise if you believe confidential information has been improperly disclosed.

33. Third-Party Content

The Services may include links to third-party websites, software, videos, documentation, learning resources, or other materials.

KaiRise does not control third-party content and is not responsible for accuracy, availability, legality, security, privacy practices, or continued availability.

Accessing third-party resources is at your own risk and subject to the applicable third party's terms.

34. Open Source Software

Certain portions of the Services may incorporate open source software licensed under applicable open source licenses.

Nothing in these Terms limits your rights under those licenses.

Copies of applicable open source notices will be provided where required.

35. Monitoring and Enforcement

KaiRise reserves the right, but not the obligation, to monitor use of the Services to protect security, investigate suspected violations, prevent fraud, enforce these Terms, comply with legal obligations, and maintain reliable operation of the Services.

Where reasonably possible, monitoring will be conducted in a manner consistent with our Privacy Statement.

36. Suspension of Service

KaiRise may suspend or restrict access to all or part of the Services if we reasonably believe that:

  • these Terms have been violated;
  • continued access poses a security risk;
  • fraudulent activity has occurred;
  • use threatens system stability;
  • required by law;
  • requested by an authorized Enterprise Customer administrator; or
  • necessary to protect KaiRise, other customers, or third parties.

Where practical, we will attempt to provide advance notice before suspension. Immediate suspension may occur when necessary to protect the Services or comply with legal obligations.

37. Effect of Suspension

During a suspension:

  • access to all or part of the Services may be disabled;
  • AI conversations may become unavailable;
  • administrative functions may be restricted;
  • certifications or assessments may be temporarily inaccessible.

Suspension does not waive KaiRise's right to pursue additional legal or contractual remedies.

Fees & Payment

38. Fees and Payment

Certain Services require payment of fees.

By purchasing a Service, you agree to pay all applicable fees, taxes, and other charges described at the time of purchase or in your applicable Order Form, Subscription Agreement, or Statement of Work.

Unless otherwise stated:

  • Fees are quoted in U.S. Dollars.
  • Payments are due at the time specified during purchase or invoicing.
  • Subscription fees are billed according to the selected billing cycle.
  • Enterprise invoices are due according to the payment terms stated on the invoice.

Failure to make timely payment may result in suspension or termination of access to the Services.

39. Renewals and Subscriptions

Subscription Services automatically renew unless canceled before the renewal date, otherwise specified in a written agreement, or terminated in accordance with these Terms.

Enterprise subscription renewals are governed by the applicable customer agreement.

KaiRise may modify subscription pricing for future renewal periods by providing reasonable advance notice.

40. Refund Policy

Unless otherwise required by applicable law or expressly stated in writing:

  • Digital course purchases are generally non-refundable once course access has been granted.
  • Subscription fees are non-refundable after the applicable billing period begins.
  • Enterprise purchases are governed by the applicable Order Form or Master Services Agreement.
  • Professional services, consulting, and custom development fees are non-refundable once work has commenced.

Nothing in this section limits any consumer rights that cannot legally be waived.

41. Privacy

Your use of the Services is subject to the KaiRise Privacy Statement.

Our Privacy Statement explains how we collect, use, disclose, retain, and protect personal information.

By using the Services, you acknowledge that you have reviewed our Privacy Statement.

42. Third-Party Services

The Services may integrate with or rely upon third-party providers, including payment processors, AI providers, cloud hosting providers, Learning Management Systems, communication platforms, analytics providers, and other technology partners.

KaiRise is not responsible for the availability of third-party services, interruptions caused by third parties, third-party privacy practices, changes to third-party functionality, or third-party terms of service.

Your use of third-party services remains subject to the applicable provider's terms and policies.

43. Availability of Services

KaiRise continually improves the Services. Accordingly, we may modify features, discontinue functionality, update AI models, change supported integrations, introduce new products, retire legacy features, or perform maintenance.

While we strive to provide reliable Services, we do not guarantee uninterrupted availability.

Scheduled maintenance, infrastructure failures, security incidents, internet outages, and third-party service interruptions may temporarily affect availability.

44. No Professional Advice

The Services are intended for education, training, coaching, assessment, and professional development.

Nothing provided through the Services constitutes legal, accounting, tax, medical, psychological, engineering, financial, or other regulated professional advice.

Users remain responsible for exercising their own independent judgment before relying upon information provided through the Services.

Disclaimers & Liability

45. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

KAIRISE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • AVAILABILITY; AND
  • UNINTERRUPTED OPERATION.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE ERROR FREE;
  • AI OUTPUT WILL ALWAYS BE ACCURATE;
  • THE SERVICES WILL OPERATE WITHOUT INTERRUPTION;
  • DEFECTS WILL ALWAYS BE CORRECTED; OR
  • THE SERVICES WILL MEET EVERY USER'S EXPECTATIONS.

46. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

KAIRISE SHALL NOT BE LIABLE FOR:

  • INDIRECT DAMAGES;
  • INCIDENTAL DAMAGES;
  • SPECIAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • EXEMPLARY DAMAGES;
  • LOSS OF PROFITS;
  • LOSS OF BUSINESS;
  • LOSS OF GOODWILL;
  • LOSS OF DATA;
  • BUSINESS INTERRUPTION; OR
  • PUNITIVE DAMAGES.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT PAID BY YOU TO KAIRISE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, liability is limited to the maximum extent permitted by applicable law.

47. Indemnification

You agree to defend, indemnify, and hold harmless KaiRise, its officers, directors, employees, contractors, licensors, affiliates, and agents from claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • your use of the Services;
  • your User Content;
  • your violation of these Terms;
  • your violation of applicable law;
  • your infringement of another party's rights; or
  • your negligent or intentional misconduct.

KaiRise reserves the right to assume the exclusive defense of any matter subject to indemnification.

48. Suspension and Termination

These Terms remain in effect until terminated.

KaiRise may suspend or terminate access to the Services at any time if:

  • these Terms are violated;
  • payment obligations are not satisfied;
  • continued access presents a security risk;
  • required by law; or
  • necessary to protect KaiRise or other users.

Users may discontinue use of the Services at any time.

Termination does not relieve either party of obligations accrued before termination.

The following provisions survive termination of these Terms:

  • Intellectual Property
  • User Content Licenses
  • Payment Obligations
  • Confidentiality
  • Disclaimers
  • Limitation of Liability
  • Indemnification
  • Governing Law
  • Dispute Resolution
  • Any provision that by its nature should survive termination.
Governing Law & General Provisions

50. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to conflict of law principles.

51. Dispute Resolution

The parties agree to first attempt to resolve disputes through good-faith negotiations.

If a dispute cannot be resolved informally within thirty (30) days, either party may pursue any remedies available under applicable law unless otherwise agreed in writing.

Nothing in this section prevents either party from seeking temporary injunctive relief to protect intellectual property, confidential information, or other legal rights.

If arbitration is required under a separate written agreement between KaiRise and a customer, that agreement shall control.

52. Force Majeure

KaiRise shall not be liable for delays or failures caused by events beyond our reasonable control, including natural disasters, acts of government, war, terrorism, labor disputes, internet failures, cloud provider outages, power failures, cyberattacks, or failures of third-party infrastructure.

Performance shall resume as soon as reasonably practicable.

53. Assignment

You may not assign or transfer your rights or obligations under these Terms without KaiRise's prior written consent.

KaiRise may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law.

54. Entire Agreement

These Terms, together with any applicable Privacy Statement, Acceptable Use Policy, AI Transparency Policy, Order Forms, Subscription Agreements, Statements of Work, Data Processing Addenda, and other written agreements expressly incorporated by reference, constitute the entire agreement between you and KaiRise regarding the Services.

55. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

The invalid provision shall be interpreted to most closely reflect the original intent while remaining enforceable.

56. No Waiver

Failure by KaiRise to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

57. Electronic Communications

You consent to receive notices, disclosures, agreements, invoices, and other communications electronically.

Electronic communications satisfy any legal requirement that such communications be in writing.

58. Export Compliance

You agree to comply with all applicable United States export control laws, sanctions, and regulations governing access to and use of the Services.

You represent that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive U.S. sanctions, and that you are not identified on any applicable U.S. government restricted party list.
